ERA Environmental Management Solutions, hereafter known as “the Company”, will provide all that is required to host and to meet the performance and functionality of the solution as described in the proposal. Your company, hereafter known as “the Customer”, will provide all that is required by way of hardware and internet connection for the solution to perform as described in the proposal. A failure to deliver necessary items in a timely manner could result in delay of delivery of the project; in such a case, the date of delivery of the product will be extended for a period of time equivalent to the delay in supplying what is required.


The Customer agrees to a $4,995 USD commitment for an annual software lease. There is to be no lease cancellation or termination within the lease term. If the Customer wishes to maintain access to data and report generation past the conclusion of the annual lease term, a lease renewal contract must be signed by the Company and the Customer. Lease renewal increases shall not exceed 7%. 


If the Customer is delinquent beyond the terms of payment agreed in the contract, the Customer will incur a 3% penalty fee 24 hours past the invoice due date. Accounts delinquent for more than 30 days past the invoice due date will be subject to termination of the service and a 10% reactivation fee. The Company vouches to make all efforts to notify the Customer of upcoming penalties.


Upon purchase, the Customer becomes the owner of the data hosted and generated by the Company. Tanks emissions reports are generated based on worst-case scenarios, and the Customer has the capability to override the system and adjust input and output values to match its production line. Therefore, the Company does not assume responsibility for the content of the reports produced using the Tanks on Demand Module. The extent of the Company’s responsibility is limited to the provision of the most accurate calculations and calculation methodologies as per applicable regulations and of the worst-case scenario as per EPA compliance requirements.


By using the Tanks on Demand Module, the Customer acknowledge that the Company cannot be held liable for any consequences resulting from actions taken involving the use of the module. The module is available in an “as in” state and the Company vouches for its accuracy in compliance with EPA regulations until edited in any manner.
